Ramon Bühler stu­di­ed law & eco­no­mics at the Uni­ver­si­ty of St.Gallen (HSG) and gra­dua­ted in 2013. During his stu­dies he worked for Prof. Dr. Wald­bur­ger at the Insti­tu­te of Public Finan­ce and Fis­cal Law at the Uni­ver­si­ty of St.Gallen as a rese­arch assi­stant. In 2013 and 2014 he worked as a trainee lawyer for our law firm. He was admit­ted to the bar in 2015 and received his doctor’s degree in 2019.

Everything about the shareholders’ agreement (SHA)

The only obligation of the shareholder provided for by law is the payment of the issue amount of the shares subscribed by him. Neither the law nor the articles of association may impose further obligations on a shareholder. In order to bind important shareholders to the company and to avoid undesired sales of shares, SHA are often concluded in practice.

Probezeit – Was ist legal?

Die meisten Arbeitsverhältnisse beginnen mit einer Probezeit. In dieser soll festgestellt werden, ob der neue Arbeitnehmer zum Unternehmen passt und umgekehrt. Eine Probezeit wird heute bei einem neuen Arbeitsverhältnis standardmässig vereinbart. Die Probezeit dient sowohl für die Arbeitgeberin wie auch den Arbeitnehmer dem gegenseitigen Kennenlernen. Falls die Beziehung nicht funktioniert, soll das Arbeitsverhältnis ohne grosse Umstände beendet werden können.
